Whereas, the Parties intend to enhance their commercial relationship relating to the purpose as
stipulated above. Whereas, during the commercial relationship it will be necessary for each party to
disclose to the other party information of a confidential or proprietary nature.

Therefore the parties hereby agree to the following terms and conditions governing the exchange of

1.1 Proprietary Information shall be all information of a proprietary nature which is disclosed by
one party or on its behalf (the Disclosing Party) to the other party or any of its employees or agents
(the Receiving Party) orally, in writing, or by drawings or inspection of parts or equipment, by
demonstrating or in any other form, including, but not limited to samples, materials, articles, drawings,
technical data or know-how relating to a party’s research, products, product ideas, services,
inventions, manufacturing processes, software programs, production techniques, purchasing,
accounting, assembly, distribution, engineering, marketing, merchandising and/or sales, etc. of the
