Recitals:

Whereas,theSellerisengagedinthebusinessofminingandsellingmineralproducts;and

Whereas,theBuyerdesirestopurchasefromtheSellerandtheSellerdesirestoselltotheBuyercertainmineralproducts,asmoreparticularlydescribedherein.

Therefore,inconsiderationofthemutualpromisesandcovenantscontainedherein,theSellerandtheBuyeragreeasfollows:

1.SaleofMineralProducts:

1.1TheSelleragreestosellanddelivertotheBuyer,andtheBuyeragreestopurchaseandacceptfromtheSeller,themineralproductsdescribedinScheduleAattachedheretoandmadeaparthereof(theProducts).

1.2ThequantityoftheProductstobesoldandpurchasedhereundershallbeassetforthinScheduleA.

1.3ThepriceoftheProductsshallbeassetforthinScheduleA.

2.Delivery:

2.1TheSellershalldelivertheProductstotheBuyeratthelocationspecifiedbytheBuyerinScheduleA.

2.2Deliveryshallbemadewithin__daysaftertheBuyersacceptanceofthisContract.

2.3RiskoflossordamagetotheProductsshallpasstotheBuyerupondelivery.
