LoanContract

ThisLoanContract(the“Agreement”)isenteredintoonthis[InsertDate](the“EffectiveDate”)byandbetween[LenderName](the“Lender”)and[BorrowerName](the“Borrower”).

1.LoanAmount

TheLenderagreestolendtheBorrowertheprincipalamountof[InsertLoanAmount](the“LoanAmount”)forthepurposeof[InsertPurpose].TheLoanAmountshallbepaidbytheLendertotheBorroweron[InsertDate].

2.InterestRate

TheinterestrateontheLoanAmountshallbe[InsertInterestRate]perannum.TheinterestshallaccruefromthedateofdisbursementoftheLoanAmountuntilthedateoffullrepayment.TheBorroweragreestopaytheaccruedinterestalongwiththeprincipalamount.

3.RepaymentSchedule

4.LatePayment

IncasetheBorrowerfailstomakeanyinstallmentpaymentonorbeforetheduedate,theBorrowershallbeliabletopayalatefeeof[InsertLateFee]ontheoutstandingamount.Thelatefeeshallaccrueonadailybasisuntilthefullrepayment.

5.Prepayment

TheBorrowershallhavetherighttoprepaytheLoanAmount,inwholeorinpart,atanytimebeforetheduedate.TheBorrowershallnotbeliabletopayanyprepaymentpenaltyforearlyrepayment.

6.RepresentationsandWarranties

TheBorrowerrepresentsandwarrantstotheLenderthat:

a.TheBorrowerhasthelegalcapacityandauthoritytoenterintoandperformthisAgreement.

b.TheBorrowershallusetheLoanAmountforthepurposespecifiedinthisAgreement.
