ThisNon-DisclosureAgreement(theAgreement)ismadeandenteredintoasofthelaterofthetwosignaturedatesbelowbyandbetweenxxxxxxx.,aDelwarecorporation,and_________________.
本保密协议（以下称“协议”）自xxxxxxx（一个位于Delware（特拉华）的公司）与_________________签订之日起生效。

(a)ConfidentialInformationmeansnonpublicinformationthatapartytothisAgreement(“DisclosingParty”)designatesasbeingconfidentialtothepartythatreceivessuchinformation(“ReceivingParty”)orwhich,underthecircumstancessurroundingdisclosureoughttobetreatedasconfidentialbytheReceivingParty.?ConfidentialInformationincludes,withoutlimitation,informationintangibleorintangibleformrelatingtoand/orincludingallbusiness,technical,andfinancialinformation(including,withoutlimitation,specificcustomerrequirements,customerandpotentialcustomerlists,marketingandpromotionalinformation,tradesecret,copyright,andtrademarkinformation,andinformationconcerningaparty’semployees,agents,divisions,practices,policies,operations,andpricinginformation),aswellasinformationreceivedfromothersthatDisclosingPartyisobligatedtotreatasconfidential.?ExceptasotherwiseindicatedinthisAgreement,theterm“DisclosingParty”alsoincludesallAffiliatesoftheDisclosingPartyand,exceptasotherwiseindicated,theterm“ReceivingParty”alsoincludesallAffiliatesoftheReceivingParty.?An“Affiliate”meansanyperson,partnership,jointventure,corporationorotherformofenterprise,domesticorforeign,includingbutnotlimitedtosubsidiaries,thatdirectlyorindirectly,control,arecontrolledby,orareunderc
