1.PurposeofAgreement

2.ScopeofWork

3.TermofAgreement

5.OwnershipandIntellectualPropertyRights

5.2TheContractorshallassigntotheClientallintellectualpropertyrightsinanyworkproductcreatedbytheContractorinthecourseofprovidingtheservices.
6.Confidentiality
BothpartiesagreetokeepconfidentialanyinformationobtainedfromtheotherpartyinthecourseofthisAgreement,exceptwheredisclosureisrequiredbylaworwiththewrittenconsentoftheotherparty.
7.WarrantiesandRepresentations
7.1TheContractorwarrantsthattheservicesprovidedwillbeperformedwithduecareandskillandinaccordancewithindustrystandards.
