HereinafterreferredtoastheSellerandtheBuyerrespectively.
ThisContractshallbeeffectivefromthedateofsigningbothpartiesandshallgoverntherightsandobligationsofbothpartiesduringtheperformanceofthecontract.
1.ProductandQuantity
1.1TheBuyeragreestopurchasefromtheSellerthefollowingproducts(hereinafterreferredtoastheGoods)inthequantityandspecificationsassetforthintheannexhereto:

1.2TheBuyershallprovidetheSellerwiththeorderformanddetailedrequirementsfortheGoodswithin[number]daysbeforetheagreeddeliverydate.TheSellershallconfirmtheorderformandprovidetheBuyerwithanorderconfirmationwithin[number]days.
2.Delivery
2.1TheSellershalldelivertheGoodstotheBuyeratthedeliverylocationspecifiedintheannexhereto(hereinafterreferredtoastheDeliveryLocation)onorbeforethedeliverydatespecifiedintheannexhereto(hereinafterreferredtoastheDeliveryDate).
2.2TheSellershallberesponsibleforthecostsandrisksoftransportationoftheGoodstotheDeliveryLocation.TheBuyershallnotberesponsibleforanydelayordamagetotheGoodsresultingfromforcemajeureeventsorcausesbeyondthecontroloftheBuyer.
2.3TheBuyershallinspecttheGoodsupondeliveryandshallwithin[number]daysfromthedateofdeliveryissueacertificateofacceptanceiftheGoodsconformtotheagreedspecificationsandqualityrequirements.IftheGoodsdonotconformtotheagreedspecificationsandqualityrequirements,theBuyershallwithin[number]daysfromthedateofdeliverynotifytheSellerinwritingofthenon-conformity.TheSellershall,atitsowncost,replaceorrepairthenon-conformingGoodsorrefundtheBuyerforthenon-conformingGoodswithin[number]daysafterreceivingthenotificationfromtheBuyer.
3.PriceandPayment
3.1ThepriceoftheGoodsshallbeassetforthintheannexhereto.Thepriceisfixedandnon-negotiable.
3.2TheBuyershallmakepaymentfortheGoodswithin[number]daysafterthedateoftheinvoiceissuedtheSeller.ThepaymentshallbemadebanktransfertotheaccountspecifiedtheSeller.
