ENGLISHLICENCEAGREEMENT

ThisEnglishLicenceAgreement(Agreement)ismadeandenteredintoonthedateof________(EffectiveDate),byandbetween:

[LICENSORNAME],acompanyincorporatedunderthelawsof[LICENSORCOUNTRY],withitsregisteredofficeat[LICENSORADDRESS](Licensor).

RECITALS

WHEREAS,Licensoristheownerofcertainintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,patents,andtradesecrets,relatedto[PRODUCT/SERVICE/TECHNOLOGY](LicensedIP),anddesirestograntLicenseeanon-exclusive,non-transferablelicencetousesuchLicensedIPforthepurposessetforthherein;

WHEREAS,LicenseewishestoobtainalicencetousetheLicensedIPforthepurposesof[SPECIFICPURPOSEOFLICENCE],subjecttothetermsandconditionshereinaftersetforth.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.GRANTOFLICENCE

1.1LicensorherebygrantstoLicenseeanon-exclusive,non-transferable,revocablerightandlicencetousetheLicensedIPsolelyforthepurposeof[SPECIFICPURPOSEOFLICENCE](LicencedUse)duringthetermofthisAgreement.

2.LICENCEFEE

2.1AsconsiderationforthegrantoftheLicence,LicenseeshallpaytoLicensoralicencefeeintheamountof[AMOUNT]dueontheEffectiveDateand[PAYMENTSCHEDULE].

3.TERM

3.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilterminatedbyeitherpartyupon[NOTICEPERIOD]writtennoticetotheotherparty.

4.TERMINATION

4.1EitherpartymayterminatethisAgreementimmediatelybywrittennoticeiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailsto
