2.TermofAgreement

3.Compensation

4.IntellectualProperty

4.2PartyBshallnotuse,disclose,orreproduceanyofPartyAsintellectualpropertywithoutthepriorwrittenconsentofPartyA.
5.Confidentiality
5.1Eachpartyacknowledgesthatitmayhaveaccesstoconfidentialinformationoftheotherparty(ConfidentialInformation).ThepartiesagreetokeepconfidentialandnotdisclosesuchConfidentialInformationtoanythirdparty.
5.2Theobligationsofconfidentialityshallnotapplytoinformationthat:
a)isorbeespubliclyknownthroughnofaultofthereceivingparty;
b)isinthepossessionofthereceivingpartywithoutrestrictioninrelationtodisclosurebeforethedateofreceiptfromthedisclosingparty;
6.Indemnification
6.1PartyAshallindemnifyandholdharmlessPartyBfromandagnstanyandallclms,liabilities,damages,andexpenses(includi
