保密协议

ThisConfidentialityAgreement(theAgreement)ismadeandenteredintobyandbetween_________(theCompany)and_________(theEmployee),on_________(theEffectiveDate),inconnectionwiththeEmployeesemploymentbytheCompany.

WHEREAS,theEmployeewillbeengagedinactivitiesthatwillrequiretheEmployeetobeexposedtoconfidentialinformationoftheCompany,anditisessentialfortheprotectionoftheCompanysconfidentialinformationthattheEmployeebeboundbythetermsofthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualpromisesandobligationssetforthbelow,theCompanyandtheEmployeeherebyagreeasfollows:

1.Definitions:

(a)ConfidentialInformationshallmeananyandallinformation,whetherwritten,oral,electronic,magnetic,optical,orotherwise,thatisnotgenerallyknowntothepublicorthattheCompanyhasaconfidentialorproprietaryinterestin,includingbutnotlimitedto:

(i)TheCompanysbusinessplans,strategies,andfinancialdata;

(ii)TheEmployeescompensationandbenefitspackage;

(iii)TheCompanystechnology,software,andhardware;

(iv)TheCompanyscustomers,suppliers,andpartners;

(v)TheCompanysinternalpoliciesandprocedures;and

(vi)AnyotherinformationthattheCompanydeemsconfidential.

(b)Disclosureshallmeananycommunication,transfer,orotherdisseminationofConfidentialInformationtoanythirdparty,otherthanasauthorizedbytheCompany.

2.ConfidentialityObligations:

(a)TheEmployeeagreesnottoDisclosureanyConfidentialInformationduringthetermofemploymentandforaperiodof_________(theConfidentialityPeriod)followingtheterminationofemployment,exceptasauthorizedbytheCompanyinwriting.

(b)TheEmployeeagreesnottouseanyConfidentialInformationforanypurposeotherthantoperformhis/herjobdutiesfortheCompany.
