3、甲、乙、丙，现经三方协商一致，就甲方委托乙方代为向丙方支付合同价款

的相关事宜达成本协议，内容如下：

First,thebasiccontent

一、基本内容

1.PartyAentrustsPartyBtopaythepaymenttoPartyConbehalfof

PartyC(capitalUSD).

1、甲方委托乙方代为向丙方支付货款____（大写：美元____元）。

2.PartyBagreestoacceptPartyAsentrustmentandpayPartyC

throughPartyBsaccountaccordingtothepaymentamountagreedin

theannex.

2、乙方同意接受甲方的委托，通过乙方账户按照了附件约定的付款金额向丙方

支付货款。

3.AfterPartyCreceivesthepayment,PartyAshallbedeemedtohave

fulfilledthepaymentobligationasagreedinthecontract,andPartyC

shallnotseparatelyrequirePartyAtopaythecontractprice.

3、丙方收到货款后，视为甲方已按合同约定履行付款义务，丙方不再另行要求

甲方支付合同价款。

Second.Liabilityforbreachofcontract

二、违约责任

1.IfPartyBfailstopayPartyCinaccordancewiththisAgreement,Party

AshallbeliableforbreachofcontracttoPartyCinaccordancewiththe

contract.

1、若乙方未按本协议的约定向丙方付款，由甲方按合同约定向丙方承担违约责

任。

Third.Miscellaneous

三、其它

1.ThisAgreementshallbeexecutedin____copies,eachofwhichshall

havethesamelegaleffect.

1、本协议一式____份，各方各执____份，具有相同的法律效力。

2.ThisAgreementshallcomeintoforceonthedateofsignatureandseal

ofPartyA,PartyBandPartyC.

2、本协议甲、乙、丙三方签字各自盖章之日起生效。
