1.LoanDetails

TheLenderagreestolendtotheBorrowerthesumofOneMillionUSDollars($1,000,000),forthepurposeofexpandingtheBorrowersbusinessoperations.

2.LoanTerm

Theloanshallhaveatermoffive(5)years,withrepaymentdueonthefifth(5th)anniversaryofthedateofthisAgreement.

3.InterestRate

Theloanshallbearinterestatarateoffivepercent(5%)perannum,payablequarterlyinadvance.

4.Collateral

TheBorrowershallpledgeallofitsassetsandrevenuesascollateralfortherepaymentoftheloan.

5.Repayment

6.Default

IntheeventthattheBorrowerdefaultsonanypaymentofinterestorprincipal,theLendershallhavetherighttodeclaretheentireloandueandpayableimmediately,andtocommencelegalproceedingsagainsttheBorrowertorecoverthefullamountoftheloan,togetherwithanyaccruedinterestandpenalties.

7.LegalProceedings

AnylegalproceedingsarisingoutofthisAgreementshallbebroughtinthecourtsofNewYork,NY,USA,andthepartiesherebysubmittothejurisdictionofthosecourts.

8.Miscellaneous

a)ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representationsandunderstandingsbetweenthem.

b)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofNewYork,USA.

c)FailurebyeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofthatpart
