INDEMNIFICATIONAGREEMENT
ThisIndemnificationAgreement,datedasof[____],2015(this“Agreement”),ismadebyand
betweenBGroupCorporation,anexemptedcompanyorganizedunderthelawsoftheCayman
Islands(the“Company”),andWangXinguang(王新光),aPRCcitizenwithPRCIDNo.of
(“Indemnitee”).
RECITALS:
A.ThebusinessandaffairsoftheCompanyshallbemanagedbyorunderthedirectionof
itsboardofdirectors.
B.IndemniteeisadirectoroftheCompanyandhis/herwillingnesstoserveinsuch
capacityispredicated,insubstantialpart,upontheCompany’swillingnesstoindemnifyhim/herto
thefullestextentpermittedbythelawsoftheCaymanIslands,andupontheotherundertakingsset
forthinthisAgreement.
C.Therefore,inrecognitionoftheneedtoprovideIndemniteewithsubstantialprotection
againstalliability,inordertoprocureIndemnitee’sserviceasadirectorofthe
CompanyandtoenhanceIndemnitee’sabilitytoservetheCompanyinaneffectivemanner,andin
ordertoprovidesuchprotectionpursuanttoexpresscontractrights(intendedtobeenforceable
irrespectiveof,amongotherthings,anyamendmenttotheCompany’sMemorandumandArticlesof
Association(collectively,the“ConstitutionalDocuments”),anychangeinthecompositionofthe
Company’sBoardofDirectors(the“Board”)oranychange-in-controlorbusinesscombination
transactionrelatingtotheCompany),theCompanywishestoprovideinthisAgreementforthe
indemnificationofandtheadvancementofExpenses(asdefinedinSection1(e))toIndemniteeasset
forthinthisAgreementandforthecoverageofIndemniteeundertheCompa
