Recitals

WHEREAS,theFranchiseedesirestobecomeafranchiseeoftheFranchisorandoperateafranchisebusinessunderthesystemofoperationoftheFranchisor;

WHEREAS,theFranchisordesirestogranttotheFranchiseetherighttooperateafranchisebusinessunderthesystemofoperationoftheFranchisor;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.GrantofFranchise

1.1TheFranchisorherebygrantstotheFranchisee,andtheFranchiseeherebyaccepts,afranchisetooperateabusinessundertheFranchisorssystemofoperation,subjecttothetermsandconditionsofthisAgreement.

1.2TheFranchiseeshallhavetheexclusiverighttousetheFranchisorstrademarks,servicemarks,tradenames,logos,andotherintellectualproperty(FranchiseMarks)inconnectionwiththeoperationoftheFranchiseBusiness.

2.Territory

2.1TheFranchiseeshallhavetheexclusiverighttooperatetheFranchiseBusinesswithintheterritorydescribedinExhibitAattachedhereto(Territory).

2.2TheFranchiseeshallnotengageinanyactivityoutsidetheTerritorythatmaybecompetitivewiththeFranchisororanyofitsaffiliates.

3.FeesandRoyalties

3.1TheFranchiseeshallpaytotheFranchisoraninitialfranchisefeeof__________(InitialFee)upontheexecutionofthisAgreement.
