I.Introduction

PartyAagreestoprovidefundingtoPartyBforaspecificpurpose,andPartyBagreestoacceptthefundinganduseitinaccordancewiththetermsandconditionsofthisAgreement.

II.DescriptionoftheSubjectMatterorService

1.PurposeoftheFunding

ThefundingprovidedbyPartyAshallbeusedfor[specificpurpose,e.g.,researchanddevelopmentofanewproduct,expansionofbusinessoperationsinaparticularregion,etc.].

2.AmountofFunding

PartyAshallhavetherighttomonitortheuseofthefundingbyPartyB.PartyBshallprovidePartyAwithregularreportsontheprogressoftheprojectoractivityforwhichthefundingisused,includingbutnotlimitedtofinancialstatements,projectstatusreports,andanyotherrelevantinformationrequestedbyPartyA.

2.InspectionRight

PartyAshallhavetherighttoinspectPartyBsfacilities,records,andotherrelevantmaterialsrelatedtotheuseofthefundingtoensurepliancewiththetermsofthisAgreement.

B.RightsofPartyB

1.UseofFunding

PartyBshallhavetherighttousethefundingsolelyforthepurposespecifiedinthisAgreementandinaccordancewithallapplicablelawsandregulations.
