ThisContractofSale(hereinafterreferredtoas“theContract”)isenteredintoonthe_______dayof_______20_____,betweentheSeller(hereinafterreferredtoas“theSeller”)andtheBuyer(hereinafterreferredtoas“theBuyer”)(collectivelyreferredtoas“theParties”).
REACHINGAGREEMENT:
1.1TheSellerherebyagreestosell,andtheBuyeragreestobuy,thefollowinggoods(hereinafterreferredtoas“theGoods”)subjecttothetermsandconditionssetforthherein.
1.2TheGoodsshallbeofthequality,specifications,andquantityassetforthintheattachedProductDescription(hereinafterreferredtoas“theDescription”).
1.3TheSellerwarrantsthattheGoodsshallconformtotheDescriptionandshallbefreefromanyliens,encumbrances,orclaimsofanythirdparties.

1.TheDescriptionattachedheretoasExhibitA;
2.TheInspectionCertificateattachedheretoasExhibitB.
DELIVERYANDSHIPMENT:
2.1TheSellershalldelivertheGoodstotheBuyeratthedesignatedplaceofdelivery(hereinafterreferredtoas“theDeliveryPoint”)within_______daysaftertheBuyer’sacceptanceofthisContract.
2.2TheGoodsshallbeshippedfromtheSeller’swarehousetotheBuyer’sspecifiedcarrierbytheSellerattheSeller’sexpense,usingthemostconvenientandeconomicmodeoftransportationavailable.
2.3TheSellershallprovidetheBuyerwithallnecessaryshippingdocuments,including,butnotlimitedto,theBillofLading,CommercialInvoice,andCertificateofOrigin,atleastfive(5)daysbeforetheshipmentdate.
COSTSANDPAYMENT:
3.1TheBuyershallpaytheSellerthetotalpriceoftheGoods(hereinafterreferredtoas“thePurchasePrice”)inaccordancewiththefollowingterms:
3.1.1ThePurchasePriceshallbecalculatedbasedontheunitpriceoftheGoodsassetforthintheDescription,multipliedbythequantityoftheGoodsagreeduponbetweentheParties.
