ThisAgreement(“Agreement”)isenteredintoasof[Date]byandbetweenthefollowingparties:

RECORDOFAGREEMENT

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

1.APPOINTMENTOFAGENT

PrincipalherebyappointsAgentasitsexclusiverepresentativetosell,market,andpromotePrincipal’sproductsandservicesin[TerritoryorRegion].

2.TERM

ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.EXCLUSIVERIGHTS

DuringthetermofthisAgreement,Principalshallhavetheexclusiverighttosell,market,andpromoteitsproductsandservicesin[TerritoryorRegion]throughAgent.Agentshallnotsell,market,orpromoteanycompetingproductsorservicesin[TerritoryorRegion]withoutthepriorwrittenconsentofPrincipal.

4.COMMISSION
