ThisFrameworkContract(the“Contract”)ismadeandenteredintobyandbetweenthepartiesconcernedonthebasisoftheirmutualunderstandingandtrust,withaviewtoestablishingalong-termbusinessrelationshipandcarryingoutmutuallybeneficialcooperation.
1.ContractingParties
ThepartiestothisContractare:
(1)[NameofPartyA](hereinafterreferredtoas“PartyA”);and
(2)[NameofPartyB](hereinafterreferredtoas“PartyB”).
2.ContractObjective
TheobjectiveofthisContractistoestablishaframeworkforthepartiestocooperateinthefieldof[specifythefieldofcooperation],providingfortherightsandobligationsoftheparties,andspecifyingthetermsandconditionsunderwhichthepartieswillconducttheirbusiness.
3.ScopeofCooperation
ThescopeofcooperationunderthisContractshallincludethefollowing:
(1)[Specifythefirstaspectofcooperation];
(2)[Specifythesecondaspectofcooperation];
(3)[Specifythethirdaspectofcooperation];and
(4)[Specifyanyotheraspectsofcooperation].
4.RightsandObligationsoftheParties
4.1RightsofPartyA:
(1)Therighttoparticipateinthedecision-makingprocessrelatedtothecooperativeprojects;
(2)TherighttoreceivetheservicesprovidedbyPartyBinaccordancewiththetermsofthisContract;and
(3)Anyotherrightsagreeduponbytheparties.
4.2ObligationsofPartyA:
(1)Theobligationtoperformitsdutiesandobligationsrelatedtothecooperativeprojects;
(2)TheobligationtoprovidethenecessarysupportandassistancetoPartyBintheperformanceofitsduties;and
(3)Anyotherobligationsagreeduponbytheparties.
4.3RightsofPartyB:
(1)TherighttoreceivetheservicesprovidedbyPartyAinaccordancewiththetermsofthisContract;
(2)Therighttoparticipateinthedecision-makingprocessrelatedtothecooperativepro
