StockHouseTransactionSettlementFundRegulatoryAgreement
ThisStockHouseTransactionSettlementFundRegulatoryAgreement(theAgreement)isenteredintobyandbetweenPartyAandPartyB,inordertoensurethesafeandsmoothexecutionofthestockhousetransactionandtheprotectionofthelegitimaterightsandinterestsofbothparties.
1.Definitions
1.1StockHousereferstothepropertythatisthesubjectofthetransaction,includingbutnotlimitedtoresidential,commercial,industrial,andothertypesofproperties.
1.2TransactionSettlementFundreferstothefundsusedtocompletethetransaction,includingthepurchaseprice,taxes,fees,andotherrelatedexpenses.
1.3PartyAreferstothesellerofthestockhouse.
1.4PartyBreferstothebuyerofthestockhouse.
2.RegulatoryObjectives
2.1TheobjectivesofthisAgreementareto:
(1)Ensurethesafeandtimelytransferofthetransactionsettlementfund;
(2)Protectthelegitimaterightsandinterestsofbothparties;
(3)Promotethesmoothandefficientcompletionofthetransaction.
3.RegulatoryMeasures
3.1BothpartiesshalljointlyopenastockhousetransactionsettlementfundregulatoryaccountatabankdesignatedbyPartyAandPartyB(theRegulatoryAccount).
3.2AlltransactionsettlementfundsshallbedepositedintotheRegulatoryAccountinfullandinatimelymanner.
3.3NeitherpartyshallunilaterallywithdrawortransferfundsfromtheRegulatoryAccountwithouttheconsentoftheotherparty.
3.4TheRegulatoryAccountshallbemanagedandoperatedbythebankinaccordancewiththeinstructionsandrequirementsofbothparties.
3.5AllpartiesinvolvedinthetransactionshallsignaconsentformagreeingtobeboundbythisAgreement.
4.RightsandObligationsoftheParties
4.1PartyAshall:
(1)Providetrueandaccurateinformationaboutthestockhous
