ThisContinuationAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[PartyAsName],havingitsprincipalplaceofbusinessat[PartyAsAddress](hereinafterreferredtoasPartyA),and[PartyBsName],havingitsprincipalplaceofbusinessat[PartyBsAddress](hereinafterreferredtoasPartyB).

WHEREAS,PartyAandPartyBenteredintoa[OriginalContractTitle](theOriginalContract),dated[OriginalContractDate],underwhichPartyAagreedtoprovide[DescriptionofServices/Goods]toPartyB,andPartyBagreedtopayforsuchservices/goodsinaccordancewiththetermsandconditionssetforthintheOriginalContract;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.ContinuationofTerms:TheOriginalContract,asamendedbythisAgreement,shallcontinueinfullforceandeffectforanadditionaltermof[SpecifyDuration,e.g.,oneyear,twoyears,etc.],commencingon[StartDateofContinuation]andendingon[EndDateofContinuation].

2.Services/Goods:PartyAagreestocontinueprovidingtheservices/goodsspecifiedintheOriginalContractduringthecontinuationterm,andPartyBagreestocontinuetoacceptandpayforsuchservices/goodsinaccordancewiththepaymenttermsandconditionssetforthintheOriginalContract.

3.Pricing:Thepricingfortheservices/goodsprovidedunderthisAgreementshallbeasspecifiedintheOriginalContract,unlessotherwiseagreeduponinwritingbybothparties.Anyadjustmentstopricingshallbeeffectivefromthedateofsuchwrittenagreement.

4.PaymentTerms:PartyBshallmakepaymentstoPartyAinaccordancewiththepaymentscheduleandtermssetforthintheOriginalContract.Anylatepaymentsshallbesubjecttointerestchargesattherateof[SpecifyInter
