In1992,RMdecidedtoconstructanewconcretemixingntinAlbany,NewYork.Abe,on
behalfofRM,begannegotiationswithDave,theownerofanearbystonequarryinSaratoga
County,topurchasecrushedstoneforthenewnt.DavetoldAbethat,becauseofthequantities
ofstoneRMrequired,alargeinvestmentwouldbeneededtopurchaseanewstonecrusher,
trucksandothernecessaryequipment.AbetoldDave,Wewillgiveyoualong-termcontract
andyouwilleasilybeabletorecoveryourinvestment.AbethenpresentedDavewitha
proposedwrittenagreementwhichprovided:
ForaperiodoffifteenyearsbeginningJanuary1,1993,RMwillbuyandDavewillsell100,000
tonsofcrushedstoneineachyearofthetermofthisagreement,FOBRMsnt.Thepriceper
tonwillbe$10in1993,withanincreaseofonepercent(1%)ineachsuccessiveyear.
Othertermsoftheproposedwrittenagreementspecifiedthesizeandqualityofstonerequired,
andalsoprovided:
RMmayterminatethisagreementforanyreasononsixty(60)dayswrittennoticetoDave.
