ThisWarehouseServiceAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[WarehouseServiceProviderName](Provider)and[ClientName](Client),bothofwhomarereferredtocollectivelyasthePartiesandindividuallyasaParty.

RECITALS

WHEREAS,theClientrequiresstorageandwarehousingservicesforitsgoodsandproducts(theGoods)attheProvidersfacility(theFacility);

WHEREAS,theProvideriswillingtoprovidesuchservicestotheClientunderthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

1.ScopeofServices

1.1TheProvideragreestoprovidethefollowingservicestotheClientattheFacility:

a.StorageoftheGoodsinasecureandclimate-controlledenvironment;

b.Receipt,handling,andinventorymanagementoftheGoods;

c.ShipmentanddeliveryoftheGoodsupontheClientsrequest;

d.AnyadditionalservicesasmaybemutuallyagreeduponbythePartiesfromtimetotime.

1.2TheProvidershallensurethattheFacilitymeetsallapplicablelocal,state,andfederalregulationsregardingstorageandhandlingoftheGoods.

2.FeesandPayment

2.1TheClientshallpaytheProviderthefollowingfeesfortheservicesprovidedunderthisAgreement:

a.Amonthlystoragefeeof[Amount]persquarefootforthestoragespaceoccupiedbytheGoods;

b.Ahandlingfeeof[Amount]peritemforeachitemreceivedandhandledbytheProvider;

c.Adeliveryfeeof[Amount]pershipmentforeachdeliverymadebytheProvider;

d.AnyadditionalfeesasmaybemutuallyagreeduponbythePartiesfromtimetotime.

2.2AllfeesshallbepaidbytheClienttotheProviderwithin[Number]daysoftheinvoicedate.Anypaymentnotreceivedbytheduedateshallbesubjecttoalatefeeof[Percentage]%oftheunpaidamountpermonth.
