ThisNonDisclosureAgreement(the“Agreement”)ismadeandenteredintoasof[Date],andbetweenthefollowingparties:

WHEREAS,PartyAandPartyBintendtoexplorepotentialcollaborationsinthefieldofbiotechnologyanddesiretoensurethatconfidentialinformationexchangedbetweenthemisprotected;and

WHEREAS,PartyAandPartyBwishtoestablishaconfidentialrelationshipforthepurposesofthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesagreeasfollows:

2.1ObligationofConfidentiality:EachpartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

2.2Exclusions:Theobligationsofconfidentialityshallnotapplytoinformationthat:

Isalreadyinthepossessionofthereceivingpartyatthetimeofdisclosure;

Isindependentlydevelopedthereceivingpartywithoutuseoforreferencetothedisclosingparty’sConfidentialInformation;

Isobtainedthereceivingpartyfromathirdpartywithoutabreachofsuchthirdparty’sobligationsofconfidentiality;

Isdisclosedthereceivingpartywiththepriorwrittenconsentofthedisclosingparty.

3.UseofConfidentialInformation

EachpartyagreestousetheConfidentialInformationsolelyforthepurposesofevaluatingandconsideringthepotentialcollaborationandnotforanyotherpurpose.Thereceivingpa
