FISCALSPONSORSHIPAGREEMENT

ThisAgreementismadebyandweenTheSoftwareConservancy

(“Conservancy”)andBemanG.Dawes(the“Representative”)onbehalfoftheproject

knownasBoost(the“Project”).TheConservancyisaNewYorknonprofitpublicbenefit

corporationlocatedinNewYork,NewYork,whichhasreceivedrecognitionofexemption

fromfederalincometaxunderSection501(c)(3)oftheInternalRevenueCode(IRC)and

classificationasapubliccharityunderIRCSections509(a)(1)and170(b)(1)(A)(vi).

WHEREAS:

A.ThepurposeoftheProjectistoproduceanddistributesoftwarethatcanbefreely

copied,modifiedandredistributedbythegeneralpublic(“FreeSoftware”).

B.TheConservancydesirestoactasthefiscalsponsoroftheProjectbeginningonthe

EffectiveDate(asdefinedbelow)toassisttheProjectinaccomplishingitspurpose,which

theConservancyhasdeterminedwillfurthertheConservancyscharitablegoals.The

ProjectdesirestomanageitselfunderthesponsorshipoftheConservancy.

C.TheConservancysBoardofDirectorshasapprovedtheestablishmentofafundto

receivedonationsofcashandotherpropertyearmarkedforsupportoftheProjectandto

makedisbursementsinfurtheranceoftheProject’smission(the“ProjectFund”).Currently,

NOW,THEREFORE,THEPARTIESHEREBYAGREEASFOLLOWS:
