论我国上市公司退市法律制度的完善 摘 要 上市公司退市法律制度是一个完整、成熟的证券市场的重要组成 部分。目前，我国的上市公司退市法律制度的框架基本建立，但是由 于规则本身设计不够合理，相关配套措施也不尽完善，另外相关规则 的运行也受制于各种外部因素，这就使得退市法律制度在净化证券市 场、提升上市公司质量、约束公司控股股东及高级管理人员、保护中 小投资者利益等方面的功能表现不足。长此以往，将不利于发挥我国 证券市场在经济发展中的应有作用，因此有必要对我国上市公司退市 法律制度的相关规则及运行现状进行检讨，再借鉴成熟证券市场的相 关退市法律制度，然后提出适合我国证券市场现实的退市法律制度的 完善措施。 本文主要研究的内容包括上市公司退市法律制度概述，其中对上 市公司退市的概念、法理价值和建立这种制度的必要性进行了分析； 对比了西方发达国家与地区成熟证券市场与我国证券市场上市公司 退市标准与退市程序方面的差异；从我国证券市场中出现的一些典型 案例出发归纳出我国上市公司退市法律制度运行的现状并对其原因 进行分析；最后对完善我国上市公司退市法律制度提出了相关建议。 关键词: 上市公司，退市法律制度，退市标准，退市程序 Ⅰ ABSTRACT The withdraw law system of listed company is the important constituent of a complete and ripe stock market legal framework. But as the rules of the law system are not very rational; the supporting measures for the law system are not very perfect; anther, the running of the law system is restricted by some external factors, the functions of the withdraw law system can’t come into force, those functions including purifying the securities business, enhancing the quality of the listed company, restraining the controlling stake and senior management personal of the listed company and protect the minority stake and so on. If those situations keep continuing, the securities business will can’t bring into play its effect for our national economic. So it is very necessary to make a self-criticism for the rules of the withdraw and its running, then draw on the experience of the withdraw of the mature securities in the western countries, and lastly put forward to some measures for improving our countries’ withdraw law system. In my article, I will research those contents including: the summary of the withdraw law system of listed company. In this chapter, I will analyze the concept of the delisting, the value of the legal principle of this system, and the necessary of establishing this system; then, I will analyze the difference of the delisting and delisting procedure between the securities business in the western country and our country; I will induce some re
