论抵押权之独立化 摘 要 众盼所归， 中华人民共和国物权法》 本文中皆简称“物权法”）已于 2007 年 10 月 1 日开始实施。物权法第 192 条中规定：抵押权不得与债权分离而单独 转让或者作为其它债权的担保。债权转让的，担保该债权的抵押权一并转让， 但法律另外规定或者当事人另有约定的除外。在理论和实务界对于这一法律条 文的理解和适用，及在物权法的草案公布征求意见到至今的尘埃落定，都存在 一定争议。然而抵押权是否能够进行所谓的独立化？如果能，那么如何理解抵 押权的独立化？抵押权独立化有何制度价值？等等这些问题都值得进一步探 讨。本文拟在简要介绍抵押权产生，历史发展基础上，对抵押权从属性、抵押 权从属性的独立化、实例及我国投资抵押和抵押权证券化发展的展望，试作一 番探讨和考察。抵押权的流通和证券化在一些已适行的发达资本主义国家起着 巨大的融资作用。我国在现今的经济发展形势下，应加速对促进抵押权的流通 和证券化，固守从属性来确保债权清偿的观念不仅会造成资源闲置与浪费，更 会阻碍我国社会经济的发展。对抵押权做制度上的改造可以采取法律移植的手 段，借鉴德国、日本等国现行的各种做法，结合我国的实际，确定适合立法体 例，规范证券化客体，可先行在部分领域如金融领域进行抵押证券的试行，制 定单行法律法规，积累适当的经验，建立机制，再向其他领域再推广。配合抵 押证券化建立，适时完善公信和健全登记等各项基本制度，使国外较完善的法 律规制在我国进行更好地嫁接，以良好的法律框架来促进各类经济融通、资本 -7- 融通。  关键词：  抵押权，独立化 ，流通，证券化，法律移植 -8- ON INDEPENDENCY OF THE MORTGAGE RIGHT ABSTRACT The “Law of Rights over Things of the People’s Republic of China” (“Law of Rights over Things)” was put into effect on Oct. 1, 2007 as expected. It is stipulated in Article 192 in the Law of Rights over Things that no mortgage right can be separated from the creditor’s right and transferred separately, or taken as the security of any other creditor’s right. For any transfer of creditor’s right, the mortgage right secured for such creditor’s right shall be transferred at the same time, unless otherwise it is specially set forth by the law or agreed by the interested parties. There always exist some disputes on the understanding and applicability of this legal provision theoretically and practically from the drafting to the implementation of the Law of Rights over Things. However, is it possible to realize the so-called independency of the mortgage right? If yes, it is necessary to further discuss the issues such as how to understand the independency of the mortgage -9- right and what is the system value of the independent mortgage right.
