非股东利益相关者权益保护的理论和制度构建___以职工权益保护为视角.pdf

内容摘要 本文从非股东利益相关者保护理论的起源与发展入手，以非股东利益相关者 的分类及范围界限为基础，进一步探讨非股东利益相关者保护的理论依据，从而 为我国的职工保护构建法律制度框架。 通过对国内外学界相关概念的分析，笔者认为利益相关者是指，那些在企业 中进行了一定的专用性投资，并承担了一定的风险的个体和群体，其活动能够影 响该企业目标的实现，或者受到该企业实现其目标过程的影响。根据这一定义， 笔者进一步将股东、管理人员、员工、消费者、债权人、政府、供应商、分销商， 特殊利益团体及社区这十个群体作为企业的利益相关者。同时，笔者以宾夕法尼 亚州的公司法改革为切入点，重点阐明职工保护的重要性。而非股东利益相关者 理论依据方面，笔者在借鉴前辈学者的基础上，创造性地将——“经济正义论” ——这一新兴经济学理论作为非股东利益相关者理论的学理支持。在本文的最后 一章，笔者着力阐述职工的利益保护之法律制度构建，以期能够对我国的职工保 护提出可行途径，从而丰富我国的相关立法。 [关键词]非股东利益相关者权益保护理论依据制度构建 Abstract withthe and ofthe Beginning origin non—shareholder development constituentsand on corporate theory theclassificationofthe basing non—shareholderconstituents．thisarticlefurtherdiscusses corporate the ofthenon-shareholder theory—foundation constituents corporate some ontheconstructionof theory，andprovidessuggestions legalregime frameforour ofthe country’Sprotecting employee． After onthecorrelated author thatthe analyzing concepts，thethought stakeholderrefers theindividual these，either orthe community，who hascarriedoncertain investmentinthe special—purpose enterprise，and hasundertakencertainrisk．Their canaffecttherealization activity ofthe orcanbeaffected the real company’Sgoal by goal izingprocess． tothis author
