4 .3.1 基于 20 10 年截面数据 的描述性统计 28 4 .3.2 基于 2006 年到 20 10 年数据 的实证分析 31 4 .3.3 结论 37  39 致谢 4 1 摘 要 我 国基 金业 的发展正步入一个 全新 的转 型 阶段 ，近几年我 国基金业 “老 鼠仓 ”、 市场择 时和盘后交 易等违规现象 的频繁发生 以及在 公司治理方面暴露 出的 问题 ，对加 强基 金 管理 公 司 的 内部 治理提 出了迫切 的要求 。基 金业 的转 型主要 从基 金业 的发展特 征 、基金 管理 公 司 的结构 、基金投 资人 的行为理念等方面发生变化 。因此对 基金 管理 公司治理 结构 的深入研 究不仅 具有重要 的理论意义 ，而且对基金业 的持续 发展有监 管 层 面 的意 义 。 本 文从基 金 治理 结构 的理论基础 出发 ，结合 我 国基金业面 临 的主要 矛盾和挑 战 的现状 ，深入分析基金管理公司 的治理结构 。并用 OLS 回归和分位 数 回归等 实证分析 的方法对 公 司治理 结构和 公司治理有 效性 、公司绩 效之 间的关系进 行研 究 ，试 图发现 其 中的关联 ，从而 为我 国基金业转 型 的主要层面一 基金管理 公司 的结构提 供 实证基 础 。 关键词 ：基金 管理 公 司 ，董事会 结构 ，公 司绩效 A b stra ct C h inas fund indu stry is entering into a new transition phase. The violations in fun d indu stry, such as inside trading, m arket tim in g and late trading，an d problem s exposed in th e area of corporate governance have occurred frequently in recent years. Th is phenom enon revealed an urgent need to strengthen the internal governance of the fund m anagem ent com pan ies. A s to the com ponents of th e tran sition the structure of th e fund m anagem ent com pany, the developm ent characteristics an d fund investors behav ior have com e to the first point. T herefore, m y study of th e structure of fund m anagem ent com pany not on ly h as im portant theoretical im p lication, but also sheds light upon the regu latory level in the developm ent of the fund indu stry. Starting from the theoretical basis of the funds governance structure, com b ined w ith the m ajor contrad ictions and challenges faced by C h inas fund indu stry, by using the O L S regression and Q uantile regression, w e run an in-depth analysis of the governance structure of the ftind m anagem ent com pany and its relation w ith the v alidity of corp orate gov ernan ce and corporate p erform ance, try ing to prov ide an em p irical basis for the process of chang ing the m ain com p onent during the fund indu stry s tran sition the structure of th e fund m an agem en t com p an y .
