Practice people found, raise the company performance does not depend on the companys financial technology and method, but will depend on whether perfecting corporate governance. This thesis research Angle positioning in corporate governance and corporate performance, aims to acknowledge the current corporate governance imperfect factors, master should how to improve corporate governance, and improve the corporate performance, so that effective guide practical work. This paper respectively from corporate governance and corporate performance and the present situation of the research background, this paper studies the domestic company mainly analyzed nowadays of carrying out the corporate governance, and find its insufficient place, and according to the shortage of place for perfect and achieve the purpose of perfecting corporate governance. Keywords：Corporate governance Corporate performance Equity structure 绪论第一章 绪论 （一）研究的意义 随着改革开放和经济的发展，我国已经进入了经济体制转轨的重要时期，企业面临着建设以规范的公司制为组织形式的现代企业制度这一重大变革。在这一目标指导下，许多企业改制为公司形式并且上市交易。然而，随着这一过程的继续深入，公司治理问题成为制约我国企业发展的瓶颈，而国际经济一体化趋势、尤其是WTO的加入，更是对我国公司治理与国际接轨提出了日渐迫切的要求。如何结合国际经验和趋势，在此背景下分析和解决我国国民经济发展中，公司治理的特征和出现问题，以及我国企业能否及早、高效率地解决目前诸多的公司治理问题，提高公司绩效，就成为了学术界面前的一大课题。 （二）研究的背景自1932年阿道夫·A·伯利加德纳·C·米恩斯的经典论著《现代公司与私有财产》问世之后，公司治理就已经成为学术界经常讨论的一个问题。 随着改革开放和经济的发展，20世纪90年代末以来，一系列公司丑闻的爆发使公司
