Thisthesishassummedupandquotedtherelevantconception,function, methodsand techniquerelatedtoassetsrecombination;hasdiscussedand analyzedthebusinessperformancestatusandfinancialaffairsofLHFIBRE inthepastyears;hasdiscussedandanalyzedthereasonsofbecomingST stocksharecompanyandtheassetsrecombinationstatusbyLHFIBREitself inbothinternalandexternalways;hasstudiedandreasonedtheurgencyand possibilityforLianhuaFiberassetsrecombination.Andgettheresultsthat LHFIBREcouldgetridoftheverydifficultstatusandmightmakeupthe deficits and get surpluses only once have got the successfulassets recombination. Thisthesishasdesignedtwofeasible schemes.Schemeone istodothe assetsrecombination through the externalreformation from stock share changingofnumberoneshareholderplusassetspeeloffandplusbuyoutand merge,schemetwo istodotheassetsrecombinationthroughthe internal reformation frommanagementbuyouttogetherwithexternalresource.This thesishasanalyzedandreasoned thefeasibility,action condition and assestsrecombinationproceduresetc.forbothschemes.Thisthesishasalso analyzedandreasonedthekeyissuesandmainproblemstobedealedwith duringtheassetsrecombination.Thisthesishasgotthestudiedresultsas wellthat both schemes could let LH FIBER do the assets recombination successfully,soastoletLHFIBERmakeupthedeficitsandgetsurpluses, tokeepthequalificationofstocksharecompany,andtomakethefurther developmentaswell.
