2. MANUFACTURER’S OBLIGATIONS 2.1 In consideration of the Manufacturer making the Products for SOLARTRONIK in accordance with the Purchase Order and by the scheduled delivery date, SOLARTRONIK agrees to pay the Manufacturer as set forth in the Purchase Order or as set forth herein. 2.2 Upon execution of this Agreement, SOLARTRONIK shall grant to the Manufacturer a non-exclusive license to produce the Products and thereby make use of SOLARTRONIK’s licensed brands trade secrets and other intellectual property that may be revealed to Manufacturer during the business relationship with SOLARTRONIK. The Manufacturer is granted this limited, non-exclusive license solely in connection with and to the extent required to perform Manufacturer’s obligations under this Agreement. 3. PRODUCT FAILURES MANUFACTURER’S WARRANTY. Manufacturer hereby warrants that, Products shall be free from defects in workmanship or material under normal use before loading on board , after shipping date ,if there are happened some unpredictable elements on the sea or even arrived destination port like Custom officers open the container or workers take out and put aside cartons rudely, all the above should be traced by shipping company or forwarder .
