At it is a time when the study of Chinese listed companys capital structure is particularly important. Because， the companys financing structure of decision-making will affect the companys management structure， and eventually affect the companys value. Th article through to the overseas financing structural theory review, compare the western country and our countrys financing structure, take China to be listed as the object of study, carry on comprehensively, the thorough analysis to its capital structure characteristic and the influence factor, had determined to be listed capital structure optimized goal should realizes the enterprise value maximization.
