分论七 推动中国资本市场实现战略转型的法制环境：以提高透明度和国际化为核心的法律制度和规则体系之调整 摘 要 随着世界经济一体化和金融全球化的趋势，中国资本市场也逐渐朝着国际化的方向发展，愈来愈多的国外投资者和大量资金涌入中国市场，而与此同时国内的投资者也将战略投资的目光转向了国际资本市场。此时的中国资本市场面临着战略性转型的良好时机，如何构建一个既能推动创新的市场，实现与国际资本市场的全面接轨，又能有效控制风险兼顾安全与收益的双重目标，是伴随中国资本市场转型的重大命题，而这一命题的完成，资本市场转型的成功实现，始终无法离开为战略转型提供基本支撑与运作框架的法制环境。为配合资本市场的战略转型，我国与资本运作相关法律制度进行了大刀阔斧地修改与完善，最具有代表性的就是2005年我国《公司法》和《证券法》两部在资本市场中具有基础作用的法律的修改。公司法中新制度，新理念的引进，证券法中证券发行与交易制度的改革，使得我国资本市场逐渐摒弃了以前的单一化——单一的交易市场，单一的交易方式，单一的交易品种，这些严重影响我国资本市场实现良性运作的桎梏彻底被废除，取而代之的是多重交易市场，多种交易方式，和多样化交易品种等与资本市场国际化相契合国际化市场格局。本论点始终将视角锁定在以提高资本市场运作透明度及国际化为核心的法律和规则体系的调整上，展望并描绘出了一幅推动中国资本市场战略转型的法制环境的蓝图。 Subsract With the trend of the global economic integration and financial globalization, China’s capital market is gradually moving toward the road of internationalization. More and more foreign investors and a large amount of capital are going to stream in China’s capital market. And at the same time, Chinese investors have paid more and more attention to the global capital market. For instance, China’s capital market is facing a good chance of a strategic transformation. So how to construct a innovative capital market aligned with international market ,while effectively control the riskis and get more profits have been the most important issue accompanied by the transformation of China’s capital market, which has a close relationship with the legal environment. Our legal system has improved a lot to cope with the transformation ,of which the representative changes are the amendment of the company law and securities law . The introduction of new ideas , the revolution of the relevant regulations will accelerate the big change in our capital market .This topic pays attention to the legal environment and depict a blueprint for the future of China’s capital market. 1.适应战略转型的法律体系的构建 中国资本市场成为全球多极金融中心之一战略目标的实现依赖于自身三大转型，即上市公司结构和上市资源的调整、市场结构和资产结构的调整、资金结构和投资者结构的调整。而上述三大战略转型的实现，又必须以中国资本市场法律规则体系的变革为基础。因此，伴随中国资本市场战略转型过程始终的一个重大命题是：应如何构建一个既能推动市场创新和战略转型，又能有效控制风险，兼顾公平与效率的资本市场法律规则体系。 与
