Because this issue not only relates to the company creditor’s interest, but also comes down to the entire social market’s transaction rules and credit. Company’s limited liability is the footstone of company law system. The company creditor’s protection system should begin in the company’s establishment, pass through the company’s operation and end at the company’s liquidation. Only designed an effective system to the company creditor’s protection can enable our corporation law to reach in the consummation. This article compares with various countries law of corporation according to the creditor’s protection system in company’s establishment, operation and termination. Combined our actual society and market conditions, the article discusses the defects of creditor’s protection system based on various aspects. The prospect of this article is to improve the legal protection mechanism for our corporation creditor interest and promote the smooth development for our legal system.
