Sole Agreement 独家合约 This Agreement constitutes the sole agreement relating to the Services to be rendered. 1. 该协议构成关于所产生服务的独家代理合约。 In the event of conflict or discrepancy between the Agreement documentation, the order of precedence shall be as provided for in the Form of Agreement (Part 1). 2. 如协议文件解释发生冲突，解释优先顺序应以协议书（第一部分）中注明的为准。 Contracting parties Relationship 协议签署双方的关系 The parties acknowledge that, unless otherwise agreed in writing, no partnership, joint venture, employment or relationship other than that of independent entities, shall come into existence between them by reason of the conclusion of the Agreement. 3. 双方同意，除非有另外的书面文字约定，协议签署后双方各自为独立的实体，相互间不应存在合伙人、合资企业、雇佣等任何关系。 None of the parties has authority to bind the other in any way without the others written consent. 4 在未得到对方书面同意之前，双方均无权以任何形式约束对方。 Neither party will be restricted from rendering similar Services to third parties. 5 在向第三方提供类似服务时，双方均不受限制。 Aurecons undertaking Aurecon的义务 Aurecon will render the Services as agreed in terms of the IPW, including any agreed variations thereto, with due care, skill and diligence. 6 Aurecon应按照《进行工作指示》尽责专业地提供各项服务，包括任何双方同意的服务的改变形式。 Aurecon will comply with the requirements of all legislation, statutory instruments, codes and mandatory standard applicable to the performance of the Services. 7 Aurecon应遵守所有提供服务所适用的法律、法定文件、规范及强制性标准的规定。 Aurecon will perform the Services in a timely manner or within an agreed program for the commencement and completion of the Services to the extent that it is within Aurecon’s reasonable control to do so. 8 在Aurecon能合理控制的情况下，Aurecon应按时提供服务，或在双方同意的期限内完成服务。 Client’s obligations 委托方义务 The Client will provide Aurecon with all relevant information and documents relating to the Client’s requirements. 9 委托方应按照委托方要求向Aurecon提供所有相关信息和文件。 The Client will promptly and satisfactorily answer all reasonable enquiries and furnish information requested by Aurecon. 10 委托方应对Aurecon提出的所有合理询问给出及时和合理的解释，并向Aurecon提供其所需信息。 The Clien
