本科毕业设计(论文) 题目:浅析我国上市公司股权激励存在的问题及其对策 教学单位: 会计学院 专 业: 会计学 学 号: 1234567890 姓 名: 李 四 指导教师: 张 三 2016年 6月 摘要 20世纪末期,我国上市公司在股份制改造的顺利进行中,也加快了实施股权激励的步伐。最初是以内部职工股作为股权激励的形式,但它较真正的股权激励形式还存在很大差别,原因是它只具有福利性,而缺乏激励性。2005年的12月31日,随着《管理办法》(《上市公司股权激励管理办法(试行)》)的发布,我国许多关于股权激励制度的建设开始顺利进行了。随着《管理办法》的发布,一些相关的制度也逐渐发展完善,为股权激励制度在我国又好又快发展奠定了基础。 股权激励使上市公司的经营管理水平因它的实施而有了很大的提高。但是,由于我国上市公司在公司的内部治理结构上还存在很多问题,还有我国需要进一步完善的职业经理人市场,加剧了股权激励机制与现有制度环境之间的矛盾。 本文 Abstract The late 20th century, Chinas listed companies in the shareholding system reform smoothly, also accelerated the pace of the implementation of equity incentive.Initially in the form of internal staff shares as equity incentive, but it is true there is the difference of the equity incentive form, reason is that it is only with welfare, and the lack of incentive.On December 31, 2005, with the management method (the measures for the management of the listed company equity incentive (try out)), many in China about the construction of equity incentive system in our country smoothly.As the management method, some related system is also gradually developing, for equity incentive system laid a solid foundation in the sound and rapid development of our country. Equity incentive of the listed company management level had the very big enhancement due to its implementation.However, due to our country in the companys internal governance structure of listed companies in Shanghai has a lot of problems, and the need to further improve the professional manager market in our country, intensify the equity incentive mechanism and the contradiction between the existing system environment. Considering our countrys current economic environment is presented in this paper, on the basis of analysis and put forward a lot of listed companies in our country many of the problems existed during the implementation of equity incentive, and compared with foreign listed companies, the equity incentive in our
