Standards for the Content and Format of Asset Management Contracts of Fund Management Companies for Single Clients (2012 Revision) Chapter I General Provisions Article 1 These Standards are formulated in accordance with the Contract Law of the People’s Republic of China, the Securities Law of the People’s Republic of China, the Law of the People’s Republic of China on Securities Investment Fund, the Measures for Fund Management Companies to Provide Asset Management Services for Specific Clients on a Pilot Basis (Order No. 83 of the China Securities Regulatory Commission, hereinafter referred to as the “Pilot Measures”) and other relevant provisions. Article 2 When providing specific asset management services for a single client, the client, the asset manager and the asset custodian shall conclude an asset management contract in accordance with the requirements of these Standards. Article 3 The parties to an asset management contract shall enter into the asset management contract under the principles of equality, free will, good faith, and full protection of the legitimate rights and interests of all parties to the asset management contract. Article 4 No asset management contract may contain any false content or misleading statement. The parties to an asset management contract shall enter into the asset management contract based on the content and format prescribed in these Standards. Article 5 Provided that the Pilot Measures, these Standards, and other relevant provisions are not violated, the parties to an asset management contract may agree upon matters other than those specified herein in line with actual circumstances. Where any specific requirement herein is really inapplicable to the parties, the parties may make reasonable adjustments to and modifications of the corresponding contents, but shall provide written explanations while filing the asset management contract with the China Securities Regulatory Commission (“CSRC”).
