本科毕业论文 题目： 浅析家族企业治理结构的转变 学 院: 管理学院 专 业: 工商管理（国际） 学 号: 200521164016 学生姓名: 田静 指导教师: 卢仁山 日 期: 2009年6月10日  摘 要 家族企业是世界上普遍存在的一种企业形式,在我国已经成为国民经济的重要组成部分和新的经济增长点，在发展初期，家族化治理结构的作用是显而易见的，但当企业发展到一定规模，却开始成为阻碍企业发展的因素。家族企业能否成长为大企业,与企业所处的外部环境及自身的内部因素有较大的关系。因此对家族企业治理结构的研究是很有实际意义的。 本文主要包括三个部分。首先通过对家族企业的特征的把握，分析了我国家族企业在用人、财务、产权、股权、激励等制度上的缺陷，并提出了相应的改善措施。企业只有不断创新学习，才能保持活力，实现可持续发展。 其次，本文分析了我国家族企业所面临的外部环境，包括产品市场、资本市场、经理人市场以及企业外部法律法规机制。外部机制会对内部治理结构产生重要影响，需与内部治理结构相协调，才能从根本上保证内部治理模式的转变。 最后，通过国际家族企业治理模式的比较分析，我国家族企业应根据本国实际国情，取长补短，积极引入职业经理人和规范的管理，改善内部治理结构和外部机制的缺陷，积极向现代治理模式转变。 关键词： 家族企业； 治理结构； 内部治理； 外部机制 Abstract Family business is one of the common forms of enterprise. It has become an integral part as well as a new point of economic increase of our national economy. At the initial stage of development, the role of family governance is obvious. However, this kind of model begins to Hinder the development of the enterprise when the business grow. It has much to do with its external environment and internal factors whether it can grow large. Therefore, it is practical to study the family business governance structure. The article mainly includes three parts. First, according to characteristics of the family business, the article analyzes the institutional problems in human resource, finance, property rights, share rights and so on. Then it proposes corresponding measures to improve corporate governance. Only the business keeps learning can they maintain vitality and realize sustainable development. Also this article analyzes its external environment, including product market, capital market, manager market and law system. The external mechanism can have an important impact on internal governance structure. The two should be coordinated well so as to improve the internal governance structure radically. Finally, through the comparative analysis of international family business governance modes, the article concludes that the family business should learn from each others s
