The Company was incorporated in the Cayman Islands on 27th March, 2001 as an exempted company with limited liability under the Companies Law of the Cayman Islands. Pursuant to a group reorganisation (the “Reorganisation”) described in Appendix V to the Prospectus which was completed on 12th October, 2001, the Company became the holding company of the subsidiaries set out in section 1 below.
