致谢..........................................................................................................................49主要参考文献..............................................................................................................50附录..............................................................................................................................53附表..............................................................................................................................54原 创 性 声 明..........................................................................................................56摘要本文通过规范分析，研究和梳理了国内外公司治理模式，并对其优缺点进行 了比较，分析家族企业公司治理问题。并通过选取样本，对上市家族公司治理结 构存在的问题进行实证研究得出其存在的一些问题，如所有权过于集中、经营管 理中的家族色彩浓厚以及家族企业的传承问题这三个方面。并对于完善和加强上 市家族企业治理的效益提出了几点意见，包括有：通过增发股份减少家族成员中 股份的持有率，从而达到真正的市场化；增强董事会的职能以保障中小股东的利 益；引进职业经理人并对其采用合适的激励机制以保障家族企业的发展状大以及 积极制定传承计划以保证家族企业的发展无后顾之忧。同时本文采取了理论联系实际的方法、以美邦服饰这个上市家族企业的公司 治理为例，从多个方面分析了美邦服饰的公司治理结构，并指出其问题所在，改 进办法，以及值得其他上市家族企业学习的地方，为其他上市家族企业更好的发 展尽一份微薄之力。关键词：上市家族企业，公司治理，美邦服饰 分类号：F276.6AbstractThis article through the canonical parse, studied and combs the domestic and foreign companies to govern the pattern, and carried on the comparison to its good and bad points, the analysis family firm company has governed the question. This paper analyzes a number of issues in the governance of listed family firms, such as excessive concentration of ownership, strong family feature in management, small board of directors compared to state owned company, and family inheritance. To improve and strengthen the effectiveness of corporate governance in listed family firms, this paper raises several points including: to increase shares to dilute rate of shares held by members of the family to achieve market-orientation; to enhance the functions of the board of directors in order to protect the interests of small shareholders; to introduce professional managers and to use appropriate incentive mechanisms to protect the family shaped develo
