北京工业大学毕业论文 - PAGE \* MERGEFORMAT I- 摘 要 并购活动自80年代中期进入中国以来，已成为推动我国企业升级和发展的重要手段，而我国的建筑业正面临迫切的转型升级需求，因此，研究我国建筑行业上市企业并购绩效的影响因素有重要意义。本文首先说明了并购的概念，介绍了我国建筑企业的并购现状，并且列举了一般企业并购绩效的影响因素；其次设计我国建筑企业并购绩效的实证研究，包括建筑企业建筑绩效的影响因素、使用合适的评价方法、选取合理的财务指标、筛选合适的样本以及建立因子分析评价模型。接着进行了实证研究以分析各影响因素的实际影响及产生原因。最后根据实证分析的结果，对如何提高我国建筑行业的并购绩效提出了几点建议。 关键词：建筑业；上市公司；并购绩效；影响因素 - PAGE \* MERGEFORMAT IV- Abstract Since the?merger and acquisition activity?entered?China in the mid 80s,It has became the?important means of promoting the?development?and upgrading of Chinese enterprise-s,?Chinese?construction?industry is facing the?urgent?needs of?the?transformation and upgrading,?therefore,There?is great significance?to study the influencing factors?of Chinas Construct-ion industry.This paper?listed current MA situation of Chinese?construction?industry in the first.Then explained the concept of mergers and acquisitions,And?listed the?factors that influence the MA performance of normal Chinese enterprises;?an empirical study on the?performance of mergers and acquisitions?in?Chinas construction enterprises,?includin-g?factors that influence the MA performance of normal Chinese construction enterprises,using suitable?evaluation method,?selecting appropriate?reasonable financial?indicators,selecti-ng the appropriate?sample?and establishing the?factor analysis model.?Then this paper has carried on the?empirical research?to analyze?the impact of factors?and find reasons.?Finally,according to the results of empirical analysis,?some suggestions?to Chinas constructionind-ustry mergers and acquisitions?was proposed.
