摘要 洛阳理工学院毕业设计（论文） PAGE IV PAGE 2 关于股权结构与公司治理的研究 摘 要 文本主要研究公司股权结构和公司治理之间的内在联系。从对股权高度集中、股权高度分散、股权有一定集中度有相对控股股东和其它较大股东这三种有代表性的股权结构的探讨，来揭示股权结构对公司治理结构的影响；从成熟市场经济和转轨经济两方面的理论和实践的差异来探讨股权结构对公司治理绩效的影响；进而提出与目前中国企业改革发展有关的政策建议。企业绩效取决于治理结构，而股权结构又是公司治理的内在基础。此外，一个良好的市场竞争环境也具有自发优化治理结构的作用。当前，关于中国经济改革的取向主要有两种观点：市场取向和所有权取向。前一种观点认为改革的重心应当是创造一个良好的市场竞争环境；后一种观点认为改革应着眼于调整现存不合理的股权结构。本文拟结合代理理论、产权理论和超产权理论来研究股权结构与企业绩效的关系，旨在为决策部门制定适当的政策提供理论与实证依据。 关键词：股权结构 公司治理 影响机理 经营绩效 政策含义  About the ownership structure and corporate governance ABSTRACT Wen research company between equity structure and corporation governance inner connections.
