PAGE 摘要 随着社会经济的发展，家族企业已成为最普遍，最主要的企业形式之一。资本结构是财务管理中很重要的一个课题，本文从家族企业内涵和国内外关于家族企业资本结构的角度出发，综述了国内外关于家族企业和家族企业资本结构的代表性观点。在此基础上界定了本文研究的对象，展开了影响中国家族企业资本结构的基本因素分析。从制度因素、企业规模、融资成本、控制权、企业的发展阶段及其市场竞争程度、家族企业内部资产结构和信息不对称七个方面作了详细介绍，其中控制权是影响家族企业资本结构的最明显的特征。 接着分析了家族上市企业资本结构对企业价值的影响，并根据上述分析提出了家族企业资本结构优化的内外部对策。内部方面改进措施主要有：建立完善的公司治理结构，加强财务约束、优化上市家族企业股权结构、注重家族企业成长等。完善外部环境主要采取的措施是：完善我国的融资制度，为家族企业融资创造良好的外部环境、建立和完善信用担保体系等。 通过全文对家族企业的分析，说明中国家族企业大量存在的客观性，通过我国家族企业资本结构的研究，说明了在中国这样一个社会主义初级阶段，市场经济还不成熟的条件下，应通过各种各样的措施为我国家族企业的发展提供合理的内部和外部环境，使其融资条件得到改善，进而优化其自身的资本结构，为其长远发展提供动力。 关键词：家族企业，家族企业资本结构，影响因素 ABSTRACT With the development of social economy, the family business has become the most popular, one of the main form of enterprise. Capital structure is very important in the financial management of a project, this paper from family enterprise connotation and the domestic and foreign enterprise capital structure for the familys point of view, at home and abroad was reviewed about family enterprise and the family business capital structure of representative viewpoint. On the basis of the definition of this study object, the influence on the Chinese family business capital structure of the basic factor analysis.
