山东大学硕士学位论文中文摘要 山东大学硕士学位论文 中文摘要 临矿集团在近十年的发展过程中，经历了从求生存到求发展、求壮大的艰难 历程，从一个濒临破产的煤炭企业发展成为各项指标名列省管企业前列的大型企 业集团。随着企业的发展壮大，临矿集团公司作为集团母公司，在集团管控方面 做了大量工作，进行了有益探索，取得了不俗成绩，但仍面临许多问题和难题， 其中最主要的是管控模式的选择设计及由此产生的母子公司权责划分和应采取的 具体管控措施。 本文从系统梳理临矿集团的历史沿革及现在的体制框架、发展格局、管理体 系入手，以集团管控理论为指导，在充分尊重和继承临矿集团自身管理体系和优 秀管理经验的基础上，对集团战略进行了认真地梳理和分析，对管控模式进行了 系统地分析、选择和设计，对母子公司权责进行了科学合理地界定和划分，实事 求是地提出了若干具体管控措施。对于临矿集团尽快建立起“适合发展格局、满 足管理需要、解决管理难题、符合监管要求的管控体系，努力实现持续提升内 部活力、核心竞争力和战略决策能力的管控目标具有积极作用。 关键词：临矿集团；管控模式；设计研究 ABSTRACTIIl ABSTRACT IIl the process of development during the last decade，Linyi Mining Group，a corporation in Shandong province，has gone a difficult journey from survival to development,and expansion．It has become the forefront of the corporate conglomerates in the coal industry in the province from the brink of bankruptcy．With the companys development and growth,the Linyi Mining Group，the parent enterprise，has done a lot of work in the aspect of management and contr01．It has done a useful exploration,achieved excellent results，but still faces many problems and challenges，among which are the selection and design ofthe control code，the resultmg division ofresponsibilities between the subsidiary and parent company，and the specific control measur懿it should take． Under the guide of the group control theory，the thesis starts from sorting out systematically the clinical Mining Group。S history and the current institutional framework,development pattern and the management system,based on the full respect and inheritance for Linyi Mining Groups own management system and excellent management experience，carefully comb and analyze the group strategy，analyze， select and design systematically the management and control mode， give powers and responsibilities of the parent company for a scientific definition and classification, promote a number of specific control measures of rational and pragmatic manner．It has a positive effect for Linyi Mining Group to establish a management and control system ～”to fit the p
