AbstractCorporate Abstract Corporate govemance has been a focal topic in the theory field domestic and abroad since 1 980s．Influenced by this trend，some financial researchers of China put forward finance governance in view of the current theoretic research achievement in corporate govemance，and expect to supply some reference for solving some issues of corporate governance．In fact，corporate finance and corporate govemance are always imerwoven．To solve certain questions，single measure Can hardly get ideal effect，and only comprehensive research and design could effectively solve complex problems in practice．The putting forward and perfection of finance governance theory just suits the need of such comprehensive research，and quickly become a new research field of finance theory． This thesis discusses omni—directionally from the theory and the practice to the corporate finance govemance structure，taking property right allocation as a main clue，by researching the concept of property fight and corporate finance governance， finance govemance subject，finance govemance center,finance govemance model and SO on，and researching the problems and countermeasures of finance govemanee structure in China’S Listed Companies wim the reality of Our country,not only have certain profound theoretical significance，but have some practical significance．This thesis falls into 5 parts． Part 1．makes the introduction．First have a brief review of the literature，and then discuss the rationale of finance govemance structure，including finance theory, corporate govemance theory,modem enterprise theory and SO on． Part 2，analyzes the framework of finance governance structure．Corporate finance govemance structure is a property right balance system which revolves around the property right allocation among the finance govemance subjects．As a complete system，the finance governance structure should include the COre concept， r governance governance subject theory,structure center theory,structure model
