华北电力大学工商管理硕士专业学位论文摘要 华北电力大学工商管理硕士专业学位论文 摘要 整体上市作为我国证券市场的制度创新，为解决长期困扰中国股市的上市子公司与 母公司之间不合理的关联交易等现象，提供了可供选择的操作方式。整体上市模式的创 新，使得整体上市企业在操作方式上呈现出多元化。本文首先依据己有的经济理论，指 出整体上市符合企业的发展要求。在此基础上，对我国已出现的整体上市案例，运用比 较和归纳的方法，分析了整体上市的动因，得出了整体上市的五种基本模式及其模式间 的异同。其次，分析了整体上市的积极作用和存在的一些问题。最后，进一步对我国钢 铁企业现行的整体上市模式进行了比较和剖析，重点分析了钢铁企业整体上市的发展现 状及中国钢铁企业整体上市的主流模式，为目前拟整体上市的钢铁企业提供一些可供参 考的借鉴并得出结论：面对国内外钢铁行业并购日渐明显的趋势，整体上市可以充分利 用资本市场的扶优助强作用，为企业发展打造一个更加广阔的融资平台，从而在钢铁行 业竞争中占据主动地位。 关键词：模式研究，整体上市，钢铁企业，证券市场 ABSTRACT (：olistic list which acts as all institutional innova廿on,in 0rdelto solve and perplex the phenomena,such as unreasonable related trade．between the listing subsidiary and its holding company in Chinese stock market during a long time，has offered the operation mode suitable for choosing．The innovation of the holistic list mode has brought the different influences to investors’interests and security market．Based on the theory of economics．the Papelpoints out也at holistic list meets the development of the enterprises．Based on this．the Papef analyses也e motivations ofholistic 1ist and summarizes the five basic models ofholistic list according to the existing cases of holistic 1isting by comparative and inductive methods． Moreover,it explains the different and the salIle aspects of the four basic models．Secondly, comparing to spin-of listing whieh has several disadvantages，holistie list plays a more active role to Chinese stock market and ente町arises as well as its some questions．Finally,I make a conclusion that the advantages ofholistic list outweigh its problems．and suitable groups should be listed．This issue creatively present suggestions for holistic list of follow-up holistic list Chinese steel enterprises．This article present suggests the holistic list of Chinese large steel enterprises．Moreover,in the future，the holistic list will be rolled out in the market and relevant departments and enterprises will continue to attach a great importance to it． Hou Dongli(Master of Business Administration) Directe
