The changes in the Company Law of 2013 set new rules for the formation of corporate capital. The new capital rules largely abandon the original concept of company operation and creditor protection with registered capital as the core, and more pragmatically chose a new balance between the free operation of the company and the protection of creditors interests. The reform of capital formation rules is not only the forerunner of the reform of the overall capital system, but also poses an urgent requirement for the development of the concept of capital and the coordination and perfection of the capital legal system.
