摘要摘 摘要 摘 要 民间借款是一种古老的经济交往形式，是社会商品经济发展到一定程度的 产物，是区别于以金融机构为贷款主体的一种信用制度。随着我国经济看快速 发展，自然人之间、自然人与企业、其他组织之间的借款行为越来越普遍。这 种有别于金融机构贷款的民间借款行为逐渐得到社会的认可，其效力理应受到 法律的保护。但违反法律规定、有悖社会公共利益的民间借款也应受到法律的 制约。 既然民间借款是一种以货币为流转物的信用制度，其风险必然存在，对借 款行为的担保必然有一定的要求。作为借款合同的从合同，担保合同的效力取 决于借款合同的效力，但担保合同本身却往往受到内部规制的制约。特别是公 司为民间借款行为提供担保，不仅受公司法的制约，而且受公司本身的运行机 制的影响，公司章程、股东决议等对公司担保的效力影响重大。另外，民间借 款合同往往是分期履行的一种合同，保证期间如何计算，诉讼时效何时起算， 都在一定程度上影响着借款纠纷的解决，对借款合同各方利益产生着重大影响。 对民间借款合同赋予强制执行效力的公证对快速解决民间借款合同纠纷， 保护出借人资金安全有着不可替代的作用。 关键词：民间借款效力担保强制执行公证 AbstractAbstr Abstract Abstract Non’government loan is an ancient economic intercourse，a result of social commodity economy development to a certain extent，a credit system differing from the loan subject as financial institutions．With China’S rapid economic development， the loans between natural person and natural person，natural person and enterprise， between other organizations becomes more and more popular．This kind of non—government loan differing from financial institutions loan is approved graduallv by society and its’effect shall be protected by laws．Anyway,the non．government loan breaking the law and regulation or being contrary to the public interests of society shall be restricted by laws． Since non’government loan is a credit system taking currency as circulation subject，the risk must exist，and it shall ask more to the guarantee of loan activity． Being the subsidiary contract of loan contract，the effect of guaranty contract depends on the effect of loan contract，but the guaranty contract shall be restricted by its， internal regulations．Especially enterprise providing guaranty to non．government loan is not only limited by enterprise law but also influenced by enterprise’S running system，articles of corporation,shareholders’decision etc．will affect the enterprise guaranty effect．In addition，non—government loan contract is a kind of contract performed by stages usually,the counting way of the guaranty period and the starting counting day of limitation of act
