Shanghai Riconi Food Co., Ltd　　(hereinafter referred to as Party A)　　Legal Address: No. 400, Tongbei Road, Shanghai 　　乙方： 上海湘鄂情酒楼有限公司 　　地址：上海市肇嘉浜路500号 　　甲乙双方经友好协商共同达成如下交易： 　　PartyA and PartyB reach the consensus on the following transactions through　　friendly consultations: 　　甲方供应乙方在其店内销售ICEASON冰淇淋，甲方供应乙方的冰淇淋 　　产品价格: 95元/千克。起送量：3 公斤。　　Party A provide Party B with the ICEASON ice cream, which is sold in the　　store of Party B.　　ice cream),　　一、 包装和重量：　　Package:　　产品用一次性塑料食品盒包装，每盒装一个品种，重量3公斤。　　All the gelato and sorbet products are packed by deposable plastic　　preserving box with volume of 3kg. 　　二、 配送货物方式： 　　当天订货，48小时内送货。　　Delivery: in 48 hours　　三、 货款结算方式：Payment:　　帐期为_ 60_天。乙方承诺次月_ 24_日结清前月全部货款。　　The credit period shall be_60__days. Party B promise to fulfill the 四、 售后服务：Service:　　1、对有陈列柜的商家，本公司可以提供上门指导冰淇淋的陈列装饰。　　Party A may provide the door-to-door guide service for the ice cream showing and decoration, if Party B has the showcase and has the need also.　　2、如有需要，甲方可以提供冰柜，收取冰柜押金，详见“冰柜租赁协议书”。　　If required by Party B, Party A shall provide a showcase， “Agreement of renting showcase” for more details.　　五、品质保证：　　Quality Control　　为保证我司产品的口味的新鲜，在-18℃的储存温度下，牛奶冰淇淋gelato的保存期限为8个月，水果雪芭sorbet的保存期限为3个月。 Storage period: To assure the freshness of iceason products, gelato shall be kept for 8 months under -18℃ and sorbet 3 months under -18℃.　　六、违约责任：　　Liabilities for Breach of Contracts:　　1、 甲方如不能按日期、按质量、按数量、按地点交货，应向已方赔偿当次货款总额的10%违约金。　　Party A shall compensate penalty 10%of total amount payment to Party B if Party A can not deliver goods according to the date, quality, quantity, and address.　　2、 甲方货已送出后，甲方非质量原因不得中途退货，已方应向甲方赔偿当　　次货款总额的10%违约金　　If Party A have already sent the gelato/sorbet out, because of Party B’s responsibility which results in rejecting goods on the way, Party B should　　compensate penalty 10% of total amount payment to Party A.　　3． 甲方提供产品在销售期间
