Recently, on the strength of both the local governments and regulators, lots of city commercial banks have already addressed some significant issues before they can improve. However, there remains still very much some confrontations looming large on the way of development, among these, is the lacking of effective and sufficient corporate governance. As a result, how to suffice the corporate governance and improve the competitiveness alike have become an impressing and important task. In this article, almost every aspect of corporate governance of city commercial banks would be issued. Such as the fundamental theory and pertinent notions, its specialty and role in the development, the model screening and the set-up principle underling, besides, the directive Framework of Basel Committee on Banking Supervision. By the analysis of international commercial banks, including share structure, inner and outside governance, in particular, the governance model of the United kingdom, American-owned banks, Germany and Japan capital-controlled banks. On a basis of both the analysis above and reforming requirement of the city commercial banks in PRC, some suggestion would be brought forward. They follow like this, proactively learning from the sophisticated minds, techniques and experience arising from the prestigious international banks, effectively updating, reinforcing risk management and self-innovation to expedite the completion and perfection of city commercial banks corporate governance in China through capital and strategic cooperation.
