论文题目：论公司治理中的中小股东权益保护 作者：汪丽敏、苏亮 作者单位：浙江光正大律师事务所 联系方式13738361558 论公司治理中的中小股东权益保护 [摘 要]：现代公司以最大限度追求利润以及最大化的实现股东利益作为公司价值追求。但是，在现实状况中通常存在控股股东“一家独大”，操控公司的具体运营，排除中小股东的合法利益的现象，而该现象的出现的主要原因就由于公司治理制度、措施和结构的缺陷。因此，才使得中小股东成为公司治理中需要着重保护的弱势群体。我国在立法层面上虽然尽可能地维护中小股东的合法权益权益，但是现状仍旧不容乐观。笔者在本文中就中小股东权益保护存在的缺陷和问题所产生的原因展开分析，并对此提出自己的完善建议。 [关键词]：公司治理、中小股东、权益保护、股权 Protection of minority shareholders equity in corporate governance Abstract: Modern companies to maximize profits and maximize the realization of the interests of shareholders as the pursuit of corporate value. However, in the actual situation, there is usually the controlling shareholder have a “authoritarian rights”, manipulating the specific operation of the company, excluding the legitimate interests of small and medium shareholders phenomenon, and the main reason for the emergence of the phenomenon due to corporate governance system, measures and structural defects .Therefore, makes the small and medium shareholders in corporate governance need to focus on the protection of vulnerable groups. Although our country at the legislative level as much as possible to safeguard the legitimate rights and interests of small shareholders, but the status quo is not optimistic. In this paper, the authors analyze the causes and problems of the protection of minority shareholders rights and interests in this paper, and put forward suggestions of mine .
